SYDNEY (S&P Global Ratings) Jan. 23, 2017--S&P Global Ratings today revised to stable from negative the outlooks on the core captive insurers of BHP Billiton Ltd. (BHPB)--BHP Billiton Marine & General Insurances Pty Ltd. (M&G) and Stein Insurance Co. Ltd. (Stein). At the same time, we affirmed our 'A' ratings on the captive insurers.

The action follows our outlook revision on BHPB (see "Outlook On BHP Billiton Ltd. And BHP Billiton PLC Revised To Stable On Improved Commodity Prices; Ratings Affirmed," published Jan. 20, 2017).

"We consider M&G and Stein to be a core entity of BHPB, in part as a result of it solely providing insurance to, and being fully integrated with, the group," said S&P Global Ratings credit analyst Rakesh Tummala. "We consider M&G and Stein to be an important part of the group's risk management and financing strategy, with oversight and ongoing strong commitment of support from the group's senior management."

In addition, M&G and Stein have extremely strong risk-based capital adequacy and we expect that BHPB would make additional capital resources available to the captives in a stressed scenario. As such, the ratings and outlooks on the captive insurers will move in tandem with the ratings and outlook on BHPB.
