Food Capitals Takes a Huge Step, Mergers 2 Businesses, G Enterprise and Osha Group and Prepares to Lead Thai Restaurant Business Industry, Expecting a Turnaround and Yielding Immediate Dividends to Shareholders in 2018

Food Capitals Public Company Limited (FC), Asia's leader of international food and beverage industry has announced a business plan after having acquired G Enterprise's business which owns premium Bangkok-based Thai restaurant brands and successfully signed the deal to acquire top quality Thai restaurants in San Francisco under the Osha group. Food Capitals owns world-renowned franchise restaurants and bars. Having merged G Enterprise into the business, it now owns a complete range of restaurant nationals and can now deliver new and even more unique dining experiences to customers. G Enterprise, well aware of diners' behavior of sharing photos on social media, will be in charge of the artistic directions of Food Capital's restaurants, using its successful experience in operating famous Thai restaurants like Chingcha Chalee, MoomMuum Park, and Umami Fallabella to the plate. Food Capitals trusts that the acquisition of G Enterprise's business will result in over 50% growth of 2017's profits, and has estimated an abrupt increase of 2018's profit which might potentially turnaround the business and bring FC in a position to pay dividend to its shareholders.

Mr TarakornAngpubate, the CEO of Food Capitals Public Company Limited revealed that Food Capitals has acquired all of the business, amounting to not more than 121,809,000 baht, of G Enterprise & Co., Ltd. (G Enterprise) which operates Chingcha Chalee, MoomMuum Park, Umami Fallabella, and Pirate Chambre restaurants. The merging of Food Capitals and G Enterprise's business will surely bring exciting changes to and set new trends for the city's dining and nightlife scenes as G Enterprise is another strong leader in Thailand's food and beverage business. G Enterprise has prepared to use its strong points which are food art and creativity to develop and create more stylish products and services for Food Capitals' restaurants, delivering novel dining experience to the customers.

Food Capitals is also in process of acquiring restaurants under the Osha group, the famous Thai brand in San Francisco. The acquisition process is nearly completed. It is expected that the transaction will be completed within the second quarter of 2017. Once the transaction is completed, Food Capitals will immediately consolidate the revenues of the Osha group. With both acquisition transactions, FC expects its 2017 revenue to be higher that THB 1,000 million or 50% increase from 2016 revenue. This could potentially turnaround the business and FC becomes profitable level. FC also plans to declare dividends to its shareholders if all goals are successfully achieved.

Mr Na-chanok Ratanadaros, the CEO of G Enterprise & Co., Ltd. said that the merger of G Enterprise into Food Capitals will allow both to develop stronger business and has led Food Capitals to own various cuisine nationals including Thai and international crossed culture cuisines. Leading G Enterprise, a recognized master of food art and presentation, Mr Na-chanok prepares to bring his knowledge and experience as a chef, an art director, an interior designer, and the experience of successfully running his own restaurants to work with Food Capitals. He will focus on developing and adjusting key elements in Food Capitals' restaurants and bars so they align better with each venue's characters and business concepts. Changes to be expected are such as food and beverage menus and entertainment.
