SET adjusts listing criteria on private placement, effective from July 1

The Stock Exchange of Thailand (SET) continues to simplify regulations of the capital market by revising definition of "market price" and exempting silent period on private placement (PP). The amendments, which are in line with the Securities and Exchange Commission (SEC)'s regulations and ease listed companies' burdens in accordance with SET's strategy: Make fundraising & investment simple, will take into effect from July 1, 2023 onwards.

The adjustments can be summarized as follows:

1) Revise definition of "Market Price" in accordance with the SEC's criteria and practice
2) Waive/Exempt silent period criteria applicable to PP shares at a price below market price as follows:

  • The sales of remaining shares after the rights offering (RO) or preferential public offering (PPO) through PP at a price not less than RO or PPO to be in line with the SEC's regulations
  • Creditors who are offered shares or securities according to the business rehabilitation plan to facilitate the rehabilitation
