TIDLOR Announces 3-Year Debenture Offering with Fixed Interest Rate of 2.70% per annum "A+" rating by TRIS Rating, Expected Subscription Period: October 28-30, 2025

Tidlor Holdings Public Company Limited ("TIDLOR" or "the Company") announced the issuance of a 3-year debenture with a fixed annual interest rate of 2.70% per annum, payable every six months throughout the term of the Debentures. The debenture is senior secured with Ngern Tid Lor Public Company Limited acting as guarantor, and includes an appointed debentureholders' representative. The debentures will be offered to both general and institutional investors, with a minimum subscription of THB 100,000 and increments of THB 100,000 each.

TIDLOR Announces 3-Year Debenture Offering with Fixed Interest Rate of 2.70% per annum "A+" rating by TRIS Rating, Expected Subscription Period: October 28-30, 2025

The subscription period is expected to run from October 28-30, 2025, through six joint lead arrangers: Bank of Ayudhya Public Company Limited (Krungsri), Kasikornbank Public Company Limited (KBank), CIMB Thai Bank Public Company Limited (CIMBT), Siam Commercial Bank Public Company Limited (SCB), Kiatnakin Phatra Securities Public Company Limited (KKPS), and Maybank Securities (Thailand) Public Company Limited (MST).

The proceeds from this issuance will be used to refinance existing corporate debt that is due for redemption within the TIDLOR Group. This will be the first debenture issuance following the Company's corporate restructuring in May 2025, and the debenture will be fully guaranteed by Ngern Tid Lor Public Company Limited, the group's core subsidiary. The debentures have received a credit rating of "A+" with a "Stable" outlook from TRIS Rating Co., Ltd. on August 21, 2025, reflecting the Company's stronger financial position following the restructuring, as well as the robust performance of its key subsidiary, Ngern Tid Lor Public Company Limited, a leading provider of vehicle title loans and insurance brokerage services. Additionally, Bank of Ayudhya (BAY) is a major shareholder, further reinforcing investor confidence.
