Bangchak Announces Tender Offer for BSRC Securities at 6.50 BSRC Shares per1 Newly Issued BCP Share, with the Tender Offer Period from 24 October to 27 November 2025

Ms. Phatpuree Chinkulkitnivat, Chief Financial Officer and Senior Executive Vice President, Accounting and Finance, Bangchak Corporation Public Company Limited (the "Company" or the "BCP"), announced announced that the company has notified the Stock Exchange of Thailand of the Schedule of Tender Offer for Bangchak Sriracha Public Company Limited (BSRC) by BCP, at the swap ratio of one newly issued ordinary share of BCP per 6.50 ordinary shares of BSRC. The offer is part of the shareholding and management restructuring plan between the two companies which aims at improving efficiency in the business operations of Bangchak Group, so as to enable it to respond to business opportunities in a more efficient manner and to strengthen its operating performance. This will also reinforce the explicitness of the structure of business operations of Bangchak Group and help streamline and increase flexibility in its operational processes and procedures.

Under the tender offer, BCP will acquire all of the ordinary shares of BSRC from other shareholders of BSRC, from 24 October 2025 until 27 November 2025 from 9.00 a.m. to 4.00 p.m. every business day. The Tender Offer Period is final and will not be amended.

As the Registration Statement for Securities Offering together with the Tender Offer for the Securities (Form 69/247-1) of the Company became effective on 21 October 2025. The summary of material information of the newly issued securities offering, together with the tender offer for existing securities, and the Registration Statement for Securities Offering together with Tender Offer for the Securities (Form 69/247-1) have been distributed to provide information to BSRC shareholders.
